DEV DAY 2024 REFERRAL PROGRAM TERMS AND CONDITIONS

In these Dev Day 2024 Referral Program Terms and Conditions (“Terms”), the words “you,” “your,” and “Participant” mean any person who uses, accesses, or interacts in any way with the Referral Program. The words “Snowflake,” “we,” “us,” and “our” mean Snowflake Inc. and its affiliates, subsidiaries, successors, assigns, and designated third-party service providers acting on their behalf. “Referral Program” means a program administered by Snowflake that facilitates the ability of Participants to refer their professional connections to attend Snowflake Dev Day 2024.

By using, accessing, or interacting in any way with the Referral Program, including by accessing the website located at any related subdomain or responding to any communication related to the Referral Program, you acknowledge, accept, and agree to be bound by these Terms, the Snowflake Terms of Service (“Terms of Service”), and the Snowflake Privacy Notice (“Privacy Notice”). The Terms of Service and Privacy Notice are publicly accessible on the Snowflake website. If you do not wish to be bound by these Terms, the Terms of Service, or the Privacy Notice, do not use, access, or interact in any way with the Referral Program.

Subject to applicable law, Snowflake may make changes to these Terms, the Terms of Service, and the Privacy Notice at any time, without notice. You understand and agree that your continued use of, access to, or interaction with the Referral Program constitutes your acceptance of the Terms, the Terms of Service, and Privacy Notice then in effect.

Overview. As used herein, “Referrer” means any Participant who, through the Referral Program, refers another Participant to attend Snowflake Dev Day 2024. “Referee” means any Participant who, through the Referral Program, is referred by another Participant to attend Snowflake Dev Day 2024. Referral Program involves a referral process that uses digital technology to facilitate, track, and appropriately attribute referrals. Referrers who successfully complete the requirements of the Referral Program (as more specifically described below) are eligible to receive an Award.
Participant Qualifications. To qualify as a Participant, you must be a natural person, a legal resident of the fifty (50) United States or the District of Columbia, and at least 18 years of age as of the Start Date of the Referral Program.
Referral Program Period. “Referral Program Period” starts on April 4, 2024 (“Start Date”) and ends on June 5, 2024 (“End Date”).
Award Eligibility. In order for a Referrer to be eligible to earn an Award through the Referral Program, all of the following conditions must be satisfied:
- An eligible Referrer must:
  - Register to attend Snowflake Dev Day 2024;
  - Share their unique referral link; and
  - Refer at least five (5) eligible Referees.
- Each eligible Referee must:
  1. Be a colleague, friend, or family member of the Referrer;
  2. Using the referral link, register to attend Snowflake Dev Day 2024 during the Referral Program Period;
  3. Attend Snowflake Dev Day 2024.
  4. Upon satisfaction of the Referral Program requirements, an email will be generated to those Referrers who meet the Referral Program requirements. The email will request a valid U.S. mailing address for delivery of the Award. Responses to that email must be received within fourteen (14) days or the email link will expire. Failure to respond within fourteen (14) days will result in forfeiture of the Award. Snowflake assumes no responsibility for undeliverable emails (e.g., resulting from any form of active or passive filtering by an email client or for insufficient space in an email account to receive an email). Awards will be mailed to eligible Referrers within sixty (60) days of providing a valid U.S. mailing address.
Award. Eligible Referrer may receive an Award (“Award”) as follows:
- First 100 Referrers who have referred at least five (5) eligible Referees will receive a bluetooth speaker, valued at approximately $150
- First 50 Referrers who have referred at least ten (10) eligible Referees will receive a Meta Quest 3, valued at approximately $500.
- An Award may be subject to its own terms and conditions of use. All Awards are subject to availability, and Snowflake reserves the right to substitute an Award of equal value. No cash alternative available. This promotional offer may not be combined with any other offer. Limit one (1) Award per eligible Referrer. All Awards are subject to verification. We may refuse to honor any Award for any reason, including but not limited to suspected fraud, identity theft, or any violation of these Terms, the Terms of Service, or the Privacy Notice.
Restrictions. Referral Program is not open to Referrers who are: (1) employees of Snowflake, (2) anyone professionally involved in the development or administration of the Referral Program; or (3) public sector employees. By participating in this Referral Program, you represent and warrant that you have obtained any appropriate or required approvals to participate in the Referral Program and receive an Award (e.g., from an employer), and your acceptance of the Award is at your sole discretion. Participants are prohibited from referring any persons who are not friends, family members, or colleagues of the corresponding Referrer. Participants shall not use the Referral Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Referral Program. Snowflake reserves the right to cancel, modify or terminate the Referral Program at any time for any reason in its sole discretion. Snowflake reserves the right to disqualify any Participant at any time from participation in the Referral Program, and to cancel or modify any pending or otherwise earned Award. There is no limit to the number of Participants that a Referrer may refer under the Referral Program. However, each Referrer is limited to one (1) Award. This offer is not valid if any of the Referral Program requirements is not satisfied, as determined by Snowflake in its sole discretion. While supplies last.
Privacy. The personal data collected as part of a Referral Program will be used, stored, and disclosed in accordance with the Privacy Notice.
Bulk Distribution (“Spam”). Each Referrer must be the actual sender of referral communication to Referees and must comply with applicable law. Referrals must be created and distributed in a professional manner that is appropriate and customary for communications with colleagues and friends and in compliance with any applicable employer or company policies and guidelines. Bulk email distribution, distribution to strangers, or any other use of the services described herein in a manner that is not promoted is expressly prohibited and may be grounds for immediate termination of participation and further legal action. Referrers who do not comply with the law, including anti-spam laws, are obligated to indemnify us against any liabilities, costs, and expenses we incur as a result of such non-compliance.
Compliance. Referrers are responsible for compliance with any applicable federal, state, or local laws, rules and regulations, contractual limitations and/or office policies, if any, regarding participation in trade promotions or acceptance of promotional gifts.
Liability. To the extent allowed by applicable law, Snowflake shall not be liable for any delay, loss, damage, distress or inconvenience for or arising from this Referral Program, including any Awards.
Taxes. You are responsible for independently assessing and complying with all relevant tax and legal requirements connected with the Award. We do not and will not provide you with tax or legal advice.
